DESCRIPTION | The study-unit will describe the system of governance of insurance undertakings. The analysis concerns the regulations introduced by the Solvency II Directive and the rules on corporate governance developed at international and EU level. Then, the intersections between insurance business and corporate law are examined. They include extraordinary corporate operations, supervision, reporting, customer relations, and claims handling management. Finally, the corporate governance of insurance groups will be analysed. Study-Unit Aims: - To familiarise students with the EU regulations on insurance and corporate law; - To stimulate students to deepen the issues arising from the intersection between corporate law and insurance regulation, both the organizational profiles and operational. Learning Outcomes: 1. Knowledge & Understanding: By the end of the study-unit the student will be able to: - List the rules on corporate governance, their rationale, and describe their meaning; - Analyze the organizational safeguards of insurance undertakings requested under corporate governance standards. 2. Skills: By the end of the study-unit the student will be able to: - Evaluate the challenges required from the EU regulations on corporate governance and insurance regulation to national laws and undertakings, including supervisory authorities; - Interpret regulatory requirements; - Identify the expected behaviours from these standards and analyse the impacts in terms of organizational and conduct requirements.
