| DESCRIPTION | The meaning of corporate governance will be examined, by clarifying the concepts of ownership, direction, management, accountability and participation. Major competing models of corporate governance will be examined with special attention to the conflicting roles of non-executive directors, executive reward, directors' compensation, the director/executive relationship, role and duties of board members, power in the organisation, governance and employees, ownership, direction, accountability, and the particular nature of family and owner-managed businesses. The role of takeovers, stakeholders and auditing will be explored and examined. The second part of the study-unit will focus on how to create a culture of ethics in a corporation. It will examine, inter alia, the importance of Codes of Ethics and how to write one; corruption, and how to fight it; the vocation of a business leader; the intention and behaviour of individuals; stewardship in managing corporate resources; International Standards for Global Business; ethics in managerial work including acting with loyalty, acting with diligence, communicating with truthfulness & transparency; subsidiarity in business; corporate reputation; creating an ethical culture. Study-Unit Aims: The aim of the study-unit will be to investigate the meaning of corporate governance through the examination of major models of corporate governance with special attention being given to the particular nature of family and owner-managed businesses. The study-unit will also investigate the concept of responsibility and its application in a business context, including the notion of shared responsibility, and the nature and scope of personal, fiduciary, corporate and social responsibility, and also how an ethical culture can be created, maintained and fostered in business. Learning Outcomes: 1. Knowledge & Understanding: By the end of the study-unit the student will be able to: - describe and differentiate clearly among the concepts of ownership, direction, management, accountability and participation; - recognise the vocation of a business leader; - describe the importance of corporate reputation; - explain the importance of creating a culture of ethics in business; - describe the repercussions of a lack of culture of ethics on business decisions and the organisation at large; - discuss how to create a culture of ethics and fight to eradicate corruption. 2. Skills: By the end of the study-unit the student will be able to: - analyze the issues involved and propose alternative solutions in corporate situations involving ownership, direction, management, accountability and participation in particular as they relate to family and owner-managed businesses; - articulate various forms of responsibility within an organisation; - write a Code of Ethics and use it to train members of an organisation; - propose strategies to create a culture of ethics and fight corruption; - debate within a community of engaged learners, articulating and defending one's position; - engage critically with the different opinions of others.
