Abstract: There is no doubt that the Companies Bill, even if enacted in its present form, is generally to be commended and the following comments are offered as always in the spirit of constructive dialogue and information. The sources of the Maltese Companies Bill are the current Commercial Partnerships Ordinance of 1962 (hereafter referred to as the CPO), which is of course the current statute, and continuity was one element in the minds of the drafters of the bill, but then as far as the far-reaching reforms are concerned, the UK Companies Act of 1985 as amended especially in 1989 and the UK Insolvency Act of 1986 as it re-iates to companies, the Irish Companies Act of 1990 as far as concerns the SICAV (the variable capital company), and the EC Directives , but only those so far adopted under the EC company law harmonisation programme.
